This Site acts as a unified digital platform housing multiple, parallel macro-business units, including but not limited to: The Wellness & Human Performance Division: Focused on the retail, e-commerce, and direct-to-consumer (D2C) distribution of premium health, wellness, and personal grooming formulations.
The Automotive Marketplace Division: Focused on regional vehicle trading frameworks, dealership acquisition tools, service automation, and specialized B2B/B2C lead-generation networks.
1.2. Eligibility: By using this Site, you warrant that you are at least 18 years of age (or the legal age of majority in your jurisdiction of residence) and possess the legal authority to enter into a binding agreement under United Arab Emirates law.
2. E-COMMERCE & WELLNESS SALES (COMMERCIAL TERMS)
This section governs the purchase of physical goods, including wellness, supplements, and grooming products available on the Site.

2.2. Pricing and Currency: All prices displayed on the Site are in United Arab Emirates Dirhams (AED) (or United States Dollars, USD, where explicitly noted) and are exclusive of Value Added Tax (VAT), customs duties, and delivery fees unless stated otherwise.
2.3. Payment Gateways: Payments must be executed through our authorized, secure third-party payment gateways (including but not limited to Stripe or localized regional providers). By submitting credit/debit card information, you authorize Shifa Prime to charge the designated amount. We reserve the right to cancel transactions that trigger fraud or compliance flags.
3. LOGISTICS, DELIVERY, AND RISK MANAGEMENT (ARAMEX FULFILLMENT)
3.1. Fulfillment Corridor: Shifa Prime partners with elite tier-1 regional logistics networks, including Aramex, to fulfill and deliver orders across the UAE and broader GCC corridors.
3.2. Delivery Timelines: While we aim for rapid 24-to-48-hour localized fulfillment within the UAE, delivery windows are estimates. Shifa Prime is not liable for delayed shipments caused by customs clearance, third-party carrier backlogs, or regional transit force majeure.
3.3. Transfer of Risk & Title: Title and risk of physical loss or damage to items transfer to the customer only upon successful physical delivery and a signed courier receipt at your designated delivery location.
3.4. Inspection and Defect Claims: Customers must inspect packages immediately upon courier receipt. Any visible transit damage or product non-conformity must be reported to our internal operations team within ten (10) business days of delivery. For verified manufacturing faults or latent defects, claims must be raised via our support channels within the product’s valid shelf-life window.
4. AUTOMOTIVE MARKETPLACE & FUTURE OPERATIONS (COMING SOON)
4.1. Pre-Launch Lead Generation: Portions of this Site relating to the Automotive Division operate strictly as a pre-launch informational and lead-capture platform.
4.2. No Binding Automotive Offers: Any vehicle silhouettes, descriptions, specifications, or "Coming Soon" landing pages do not constitute binding commercial offers to buy, sell, lease, or trade vehicles.
4.3. Data Collection for Networks: By submitting your email or corporate details via our Automotive portal, you grant Shifa Prime explicit consent to contact you regarding dealer acquisition networks, service inquiries, and early platform access. All subsequent automotive transactions will be governed by specialized B2B/B2C marketplace contracts separate from these Site Terms.
5. INTELLECTUAL PROPERTY & PERMANENT CAPACITY CONTROL
5.1. Absolute Ownership: The Site and its entire original contents, features, and functionality—including text, layout, typography, corporate logos, source code, backend logic, and AI-generated imagery/visual assets—are the exclusive, unencumbered Intellectual Property of Shifa Prime General Trading FZE LLC or its licensors.
5.2. Prohibited Use: Users are strictly prohibited from copying, scraping, reproducing, modifying, distributing, or reverse-engineering any portion of this Site’s front-end or back-end architecture for commercial purposes without explicit, written authorization signed by a Managing Director of Shifa Prime.
6. LIMITATION OF LIABILITY & ACCUMULATED RISK CAPPING
6.1. Disclaimer: This Site and its contents are provided on an "as-is" and "as-available" basis without warranties of any kind, whether express or implied.
6.2. Liability Cap: To the maximum extent permitted by the laws of the United Arab Emirates, Shifa Prime, its managing directors, employees, and developers shall not be liable for any indirect, incidental, special, exemplary, or consequential damages arising out of your use of the Site.
6.3. Exclusion of Caps: Nothing in these Terms shall limit or exclude Shifa Prime’s liability for fraud, gross negligence, willful misconduct, or bodily injury directly caused by proven manufacturing defects or product contamination verified at the plant level.
7. INDEMNIFICATION
7.1. User Indemnity: You agree to defend, indemnify, and hold harmless Shifa Prime General Trading FZE LLC, its directors, and operational staff from and against any third-party claims, damages, losses, or legal liabilities (including reasonable attorney fees) arising from your breach of these Terms, misuse of our products, or violation of any regional regulatory framework.
8. TERMINATION OF SITE ACCESS

9. GOVERNING LAW AND NEUTRAL JURISDICTION

9.2. Dispute Resolution Framework: Any dispute, controversy, or claim arising out of or relating to this agreement—including its formation, validity, or breach—shall be settled amicably through executive-level negotiation.
9.3. Arbitration Clause: If an amicable settlement cannot be reached within thirty (30) days, the dispute shall be referred to and finally resolved by binding international arbitration under the rules of the Dubai International Arbitration Centre (DIAC). The seat of arbitration shall be Dubai, UAE, and the language of the proceedings shall be English.

10.1. Shifa Prime reserves the sole right to modify, update, or rewrite these Terms at any time to reflect changing operational structures, regulatory updates, or vertical expansions. The "Last Updated" date at the top of this document will be revised accordingly. Your continued use of the Site post-modification constitutes full legal acceptance of the updated terms.

9. Returns and Refunds Returns are accepted within 7 days from delivery provided the item remains unused and in original condition. Customers must report defective or incorrect products within 48 hours of delivery. Refunds are processed within 7–10 business days following inspection.
10. Cancellation Policy Orders may be cancelled only before dispatch. Once dispatched, orders cannot be cancelled and must follow return procedures.
